1. Scope

These General Terms and Conditions ("GTC") govern the contractual relationship between Sponsor Plus GmbH (hereinafter "Sponsor Plus") and the organisations as well as other contractual partners that use the Sponsor Plus platform.

Sponsor Plus provides a digital SaaS platform for the planning, implementation, administration and financial processing of club projects, events, sponsoring and donation projects, as well as other organisational and administrative tasks.

For individual services, supplementary terms and conditions, price and fee schedules or agreements may apply.

In the event of contradictions between individually agreed contractual terms and these GTC, the individually agreed terms shall prevail.

2. Definitions

For the purposes of these GTC, the following terms shall apply in particular:

Organisation: Club, company, foundation, institution or other organisation that uses Sponsor Plus as a contractual partner.

Organisation administrator (org_admin): A user authorised by an organisation with extended administrative rights within the respective organisation.

User: Persons who access Sponsor Plus via a user account.

Participant: Persons who participate in a project or event managed via Sponsor Plus.

Sponsor: Person or organisation that provides financial support to a project or a participant.

Donor: Person or organisation that makes a voluntary financial contribution.

Project: An event, sponsoring, donation, club or other financing activity created via Sponsor Plus.

Platform: The web application provided by Sponsor Plus including its associated functions and services.

3. Registration and Organisation Account

The registration of a user or organisation account is required for the use of certain functions.

The information provided during registration must be complete, truthful and current.

An organisation account is only created after the successful completion of the intended registration process.

The organisation is responsible for the management of the users, administrators, roles and permissions assigned to it.

The organisation must ensure that user accounts are used exclusively by the persons authorised to do so.

Sponsor Plus may implement additional security measures such as two-factor authentication or security codes.

4. Access Data and Security

Users are obliged to treat their access data confidentially and to protect it from access by unauthorised third parties.

Passwords and security codes must not be shared with unauthorised persons.

In the event of suspected unauthorised access or misuse of a user account, Sponsor Plus must be informed immediately.

Sponsor Plus is entitled to temporarily block user accounts or require additional security checks in the event of concrete security risks.

5. Scope of Services of the Platform

Sponsor Plus provides different functions depending on the selected subscription, project and activated modules.

The scope of services may include in particular:

  • Club and event projects
  • Sponsoring projects and sponsored runs
  • Donation projects
  • Participant and member management
  • Registrations and participant lists
  • Membership fees
  • Invoicing
  • QR invoices
  • Payment reconciliation
  • Card payments and other payment methods via connected payment service providers
  • Sponsor and donation management
  • Task management
  • Helper management
  • Material management
  • Catering management
  • Financial and budget management
  • Communication management
  • Document management
  • Running and lap counting functions
  • Statistics and controlling
  • Data exports
  • Other functions and modules provided by Sponsor Plus.

Not all functions have to be available in every subscription or for every project.

The specific scope of services results from the service or subscription description valid at the time of contract conclusion.

Sponsor Plus may technically further develop and optimise the platform and adjust functions, provided that the essential purpose of the contract is not inappropriately impaired thereby.

6. Trial Phase

Sponsor Plus may offer new organisations a free or discounted trial phase.

The duration, functional scope and usage limits of the trial phase are specified during registration or on the respective current offer page.

A trial phase only results in a fee-based contractual relationship if this is expressly concluded or confirmed by the organisation.

Unless otherwise agreed upon conclusion of the trial phase, there is no automatic conversion into a fee-based subscription.

7. Subscriptions

Sponsor Plus may offer various fee-based subscriptions with different scopes of services and usage limits.

The respective available subscriptions, their scope of services, usage limits, contract duration and prices are displayed transparently before the subscription is concluded.

The conditions displayed to the organisation at the time of contract conclusion and accepted by it shall be decisive.

Sponsor Plus may change its offer and its subscription structure for future contract conclusions.

Changes do not have retroactive effect on an already paid contract period.

8. Prices

The respective valid subscription prices are displayed in the current price overview or immediately before the conclusion of a fee-based subscription.

Concrete subscription prices are not part of these GTC.

The price displayed to the organisation at the conclusion or renewal of the respective subscription shall be decisive.

The prices indicated are in the specified currency. Whether legally owed taxes, in particular value added tax, are included in the indicated price or are levied additionally, is stated in the respective price overview.

9. Platform, Transaction and Payment Fees

Platform, transaction and/or payment fees may apply to certain services and transactions provided or processed via Sponsor Plus.

Concrete percentages or fee amounts are not part of these GTC.

The respectively applicable:

  • Fee amount,
  • Calculation basis,
  • Payment method,
  • Grading,
  • Minimum fee,
  • Maximum fee or
  • other fee regulation

results from the respectively valid price and fee overview or is transparently displayed before using the corresponding fee-based service.

Sponsor Plus may use different fee models for different payment methods.

10. Payment Processing

Sponsor Plus provides technical functions via which organisations can manage payments in connection with projects, events, sponsoring, donations, membership fees and invoices.

Depending on the payment method, the actual payment processing takes place via banks, payment service providers or other external financial service providers.

For the use of such payment methods, the contractual and data protection conditions of the respective payment service provider may additionally apply.

Insofar as payments are paid out directly to the respective organisation via a payment service provider, Sponsor Plus does not become the owner of the funds intended for the organisation.

Sponsor Plus does not hold customer funds and does not maintain payment accounts for organisations, sponsors, donors, participants or other users, unless expressly agreed otherwise and legally permitted.

Sponsor Plus assumes no guarantee for the acceptance of a certain payment method or an individual payment by an external payment service provider.

11. QR Invoices

Sponsor Plus may provide organisations with functions for the creation and management of QR invoices.

The organisation is responsible for the accuracy of the information provided by it, in particular:

  • Payee
  • Account holder
  • IBAN or QR-IBAN
  • Billing address
  • Invoice amount
  • Reference information
  • Other billing-relevant data.

Sponsor Plus is not responsible for incorrect payments that arise due to incorrect or incomplete information from the organisation.

12. Payment Reconciliation

Sponsor Plus may provide automated or supported functions for payment reconciliation.

Automated allocations are based on the available payment and invoice information.

The organisation is obliged to appropriately check the payment information relevant to its bookkeeping.

Sponsor Plus does not guarantee that every payment can be automatically and clearly assigned to a specific invoice, person or transaction.

13. Invoices and Accounting Data

Sponsor Plus may provide functions for the creation, management, processing and export of invoice and payment information.

The organisation remains solely responsible for its proper bookkeeping, tax returns, value added tax settlements, legal retention obligations and other financial obligations.

Sponsor Plus does not replace individual accounting, tax, legal or fiduciary advice.

14. Responsibility for Projects

The respective organisation is responsible for the projects created and published by it via Sponsor Plus.

This concerns in particular:

  • Project description
  • Participation conditions
  • Prices and fees
  • Minimum amounts
  • Sponsoring conditions
  • Donation calls
  • Registration deadlines
  • Execution of the event
  • Communication with participants, sponsors and donors
  • Legal and regulatory requirements.

Sponsor Plus provides the technical infrastructure for this purpose.

Sponsor Plus does not guarantee any specific financial success, any specific number of participants, sponsors or donors, and no specific project success.

15. Obligations of the Organisation

The organisation undertakes to use Sponsor Plus exclusively within the framework of applicable laws and these GTC.

In particular, the organisation is responsible for ensuring that:

  • its information is correct and current;
  • it is authorised to process the collected data;
  • required consents are obtained;
  • information obligations towards affected persons are fulfilled;
  • no illegal content is published;
  • no third-party rights are violated;
  • no fraudulent projects are carried out;
  • the platform is not misused.

16. Participants, Members, Sponsors and Donors

Organisations can manage personal data of participants, members, sponsors, donors and other persons via Sponsor Plus.

The organisation is responsible for ensuring that it is allowed to lawfully collect this data and process it via Sponsor Plus.

Sponsor Plus may process this data to the extent necessary to provide the contractually agreed platform functions.

Further details can be found in the privacy policy and, if applicable, a data processing agreement.

17. Content, Images, Logos and Documents

Organisations and users can upload images, logos, texts, documents, files and other content to Sponsor Plus, depending on the functional scope.

The rights to this content remain with the respective rights holder.

By uploading, the organisation grants Sponsor Plus the usage rights necessary for the technical processing, storage, display, transmission and provision of the platform.

The organisation confirms that it possesses the necessary rights to the uploaded content.

18. Rights to Sponsor Plus

All rights to the Sponsor Plus platform as well as to content, brands, logos, designs, software components and other protected elements created by Sponsor Plus itself remain with Sponsor Plus or the respective licensors.

The use of the platform does not transfer any ownership or intellectual property rights to Sponsor Plus to the organisation.

Reproduction, distribution or commercial use of protected platform components outside the intended use is not permitted without appropriate authorisation.

19. Data Protection

Sponsor Plus processes personal data in accordance with the applicable data protection law and the respectively valid privacy policy.

The privacy policy forms the basis for information about the type, scope and purpose of data processing.

Insofar as Sponsor Plus processes personal data on behalf of an organisation, additional provisions on data processing may apply.

20. Third-Party Providers

Sponsor Plus may use services from third-party providers to provide the platform.

This concerns in particular areas such as:

  • Hosting and cloud infrastructure
  • Data storage
  • Payment processing
  • Email dispatch
  • Security services
  • Technical infrastructure
  • Analysis and monitoring services.

Sponsor Plus is entitled to exchange third-party providers or use additional providers, provided that legal and contractual requirements are met.

21. Availability and Maintenance

Sponsor Plus strives to ensure high availability of the platform.

However, uninterrupted or completely error-free availability is not guaranteed.

Temporary restrictions may arise in particular due to:

  • Maintenance work
  • Security updates
  • Software updates
  • Technical faults
  • Network outages
  • Disruptions by third-party providers
  • Cyberattacks
  • Force majeure or
  • other events outside the reasonable sphere of influence of Sponsor Plus.

Planned maintenance work will be carried out where possible in such a way that usage is impaired as little as possible.

22. Data Backup

Sponsor Plus takes appropriate technical and organisational measures to secure and protect the processed data.

Despite appropriate security measures, complete protection against data loss cannot be guaranteed.

Organisations are obliged to additionally store business or legally particularly relevant data within the framework of their own responsibility or to use available export options.

Concrete technical backup procedures, storage locations, backup intervals or deployed infrastructure and cloud providers are not part of these GTC.

23. Data Export

Sponsor Plus may provide functions for the export of organisation, project, participant, invoice, payment and other data.

The scope and format of available export options depend on the respectively current functional scope of the platform.

The organisation is responsible for the further processing of exported data in its own systems.

24. Liability

Sponsor Plus is liable in accordance with the mandatory provisions of Swiss law.

As far as legally permitted, liability for slight negligence is excluded.

As far as legally permitted, Sponsor Plus is not liable for indirect damages, consequential damages, lost profit or damages caused by failures or actions of independent third-party providers.

In particular, Sponsor Plus is not liable for damages resulting from:

  • Incorrect information from the organisation,
  • Faulty bank or payment information,
  • Unauthorised use of a user account,
  • Illegal content of an organisation,
  • Improper use of the platform or
  • Violation of obligations by the organisation or its users.

Mandatory legal liability provisions remain reserved in any case.

25. Blocking of Accounts

Sponsor Plus may temporarily restrict or block user or organisation accounts if there are concrete indications of:

  • Illegal use,
  • Fraud or misuse,
  • Significant security risks,
  • Violations of these GTC,
  • Significant payment arrears or
  • Endangering the platform or other users.

As far as possible and reasonable, the affected organisation will be informed about the reason for the blocking.

26. Contract Duration and Termination

The contract duration is based on the selected subscription and the conditions displayed at the time of contract conclusion.

Any automatic renewal as well as the corresponding notice periods are transparently stated before the contract is concluded.

A termination generally does not affect fees already incurred and outstanding claims.

27. Data After Contract Termination

After the contract ends, access to the organisation account and individual platform functions may be restricted.

To the extent technically and legally possible, Sponsor Plus may grant the organisation the opportunity to export its available data for a reasonable period.

After the expiry of the intended retention or transition period, data may be deleted or anonymized, provided that no legal retention obligations, legitimate interests, or other legal bases require further storage.

28. Changes to Prices and Fees

Sponsor Plus may adjust subscription prices, platform fees, transaction fees, payment fees, and other conditions for future contract periods or future transactions.

Contract periods that have already been concluded and paid for are generally not retroactively changed by subsequent adjustments.

The applicable prices and fees are displayed transparently on the platform or before the conclusion or use of a paid service.

29. Changes to These GTC

Sponsor Plus may change these GTC, particularly due to legal, technical, security-related, or economic developments.

Every published version receives a version number and a date.

In the event of significant changes, existing organisations will be informed in an appropriate manner and with reasonable notice.

To the extent necessary due to the nature of the change, Sponsor Plus may require renewed consent to the updated GTC version.

The respective accepted GTC version can be documented electronically.

30. Electronic Consent and Proof

Consent to these GTC may be given electronically.

For proof of consent, Sponsor Plus may, in particular, store the following information:

  • accepted GTC version
  • date and time of consent
  • user or organisation assignment
  • technical evidence information, as far as necessary and permissible under data protection law.

If a new GTC version requires consent, further use of certain platform functions may be made dependent on consent to the new version, provided this is legally permissible.

31. Transfer of the Contract

The organisation may not transfer its rights and obligations from the contractual relationship to third parties without the consent of Sponsor Plus, unless mandatory law provides otherwise.

Sponsor Plus may transfer rights and obligations as part of a company transfer, restructuring, or legal succession, provided this is legally permissible and the legitimate interests of the organisation are preserved.

32. Severability Clause

Should any provision of these GTC be wholly or partially invalid or unenforceable, the remaining provisions shall generally remain unaffected.

Instead of an invalid provision, the relevant statutory provisions shall apply.

33. Applicable Law

Swiss law applies to the contractual relationship between Sponsor Plus and the organisation, subject to mandatory statutory provisions.

34. Place of Jurisdiction

The place of jurisdiction is, to the extent legally permissible, the registered office of Sponsor Plus GmbH.

Mandatory legal places of jurisdiction remain reserved.
