1. Scope and Definitions
These Terms of Use govern the use of the digital platform Sponsor Plus (hereinafter "the Platform") by clubs, organisations, their staff and other users. They supplement the General Terms and Conditions (GTC) and the Platform Agreement, which are concluded separately. In the event of contradictions, the GTC shall prevail.
"Sponsor Plus" is the operator of the Platform and provides the services in accordance with the applicable contractual agreements. "Organisation" refers to the club or organisation that uses the Platform. "User" includes all natural persons who access the Platform, including administrators, staff, participants, sponsors and donors.
2. Registration and User Accounts
Use of the Platform requires registration. When registering, truthful and complete information must be provided. A user account is personal and non-transferable. The password must be kept confidential and protected against unauthorised access.
Registration as an organisation is carried out by a person authorised to represent the organisation. By registering, the person confirms that they are authorised to represent the organisation on the Platform and to accept the corresponding contractual basis (GTC, Platform Agreement, Privacy Policy) on behalf of the organisation.
Users can also register without their own organisation, for example to participate in projects as sponsors or donors. In this case, these Terms of Use apply to the personal user account.
3. Organisations
An organisation can design its profile on the Platform, create projects, manage participants and process financial transactions. The organisation is responsible for all content it publishes on the Platform, including project descriptions, images, participant data and communications.
The organisation warrants that it has the necessary legal basis for the use of logos, images, names and other protected content. The presentation of the organisation on the public club page is based on the branding settings configured by the organisation.
4. Administrators and Staff
Each organisation designates at least one person as administrator. Administrators have full access to the organisation and can invite additional staff, assign roles and change settings. Staff may have restricted access depending on their assigned role.
The organisation is responsible for all actions of its administrators and staff on the Platform. Access credentials must be kept secure. If unauthorised access is suspected, Sponsor Plus must be informed immediately.
5. User Roles
The Platform distinguishes the following user roles:
- Super Administrator (Super Admin): Staff member of Sponsor Plus with full access to all Platform functions and all organisations.
- Administrator (Organisation): Person designated by the organisation with administrative access to their own organisation.
- Staff: Person invited by the organisation with restricted access according to their assigned role.
- User (Sponsor/Donor): Natural person participating in projects as a sponsor or donor.
- Helper: Natural person designated by the organisation for lap counting or other tasks.
6. Subscriptions
Use of the Platform by an organisation requires the conclusion of a subscription. The available subscriptions, their scope and the applicable prices are set out in the current price list and the concluded Platform Agreement. The applicable conditions are documented at the time of contract conclusion.
The subscription determines the scope of functions, the available modules and the number of possible projects. Changes to the subscription are possible in accordance with the contractual provisions. Billing is based on the agreed payment interval.
7. Trial Subscription
Sponsor Plus offers a trial subscription that allows organisations to test the Platform free of charge. The trial subscription is subject to approval by the Super Administrator. During the trial period, certain restrictions apply, particularly with regard to payment processing and project publication.
Payment flows (sponsorship, donations, membership fees, event registrations) are blocked during the trial period until the trial subscription has been approved. Approval takes place after the organisation has been reviewed by Sponsor Plus. The duration of the trial subscription is based on the current trial subscription configuration.
8. Projects
Organisations can create various project types, including sponsor runs, donation projects, sponsorship projects, club events, junior camps and memberships. Each project can be configured individually, including target amount, duration, participant management and sponsorship models.
The organisation is responsible for the accuracy of the content of project descriptions. Projects can go through various statuses (Draft, Planned, Active, Paused, Completed, Cancelled, Withdrawn). Status changes are subject to the respective permissions and validations.
9. Events
Events include camps, tournaments, courses, excursions and club functions. For events, participation fees, price groups, sibling discounts, cancellation conditions and additional options can be configured. Registration can be public or internal.
The organisation is responsible for the execution of the event and compliance with all legal requirements, including the duty of supervision for minors.
10. Participants
Participants are persons who take part in a project or event. The organisation collects and manages participant data in compliance with the applicable data protection regulations. For minors, the consent of legal guardians must be obtained.
Participant data can be used for billing sponsor runs, donations, membership fees and event fees. The Platform supports the central management of participant master data across multiple projects.
11. Members
Members are persons who belong to the organisation and whose membership fees are managed via the Platform. The organisation can define membership fees in various billing periods (yearly, half-yearly, quarterly, monthly) and assign them to teams.
Member management includes the recording of master data, the assignment of fee rates and automatic invoicing according to the configured billing period.
12. Minors
Special duties of care apply to the collection and processing of data of minors. The organisation ensures that the necessary consents of legal guardians are obtained before data of minors is recorded on the Platform.
For billing of minors, the contact details of legal guardians are used preferentially. The Platform supports the recording of legal guardian data and emergency contacts.
13. Sponsorship
Sponsorship includes the financial support of projects by sponsors. The Platform supports various sponsorship models, including per lap, per kilometre, per goal, per assist, per point, fixed amount and custom models. The sponsorship conditions are configured per project.
Sponsors can conclude sponsorship contracts online, which are confirmed by email. Billing is based on the selected sponsorship model and the performance achieved by the participants.
14. Donations
Donations are voluntary contributions to projects or organisations. The Platform supports one-time donations and recurring donations. Donations can be configured with or without a minimum amount. For donation projects, predefined amounts and free amounts can be offered.
Donations can be processed via various payment methods, including credit cards (Stripe), QR invoices and Payrexx. The availability of payment methods depends on the organisation's configuration.
15. Membership Fees
Membership fees are defined by the organisation and can be assigned to different teams. Billing is automatic according to the configured billing period. The Platform supports the creation of invoices, reminders and credit notes for membership fees.
The organisation is responsible for the accuracy of the fee rates and the assignment of members.
16. Invoices
The Platform creates invoices for sponsorship, donations, membership fees, event fees and platform fees. Invoices contain the legally required information and can be downloaded as PDF. Invoicing is automatic according to the configured conditions.
Invoices can be sent by email, created as QR invoices with payment section or processed via online payment providers. The Platform supports a reminder system with configurable reminder levels and reminder fees.
17. Payment Processing
Payment processing is carried out via integrated payment providers (Stripe, Payrexx) or by QR invoice. The organisation selects the desired payment methods in the settings. The use of payment providers is subject to their own GTC and privacy policies.
The Platform supports two-phase authorisation (pre-authorisation and capture) for credit card payments. Billing is based on the configured conditions. Payments can be cancelled or refunded, provided the conditions of the payment providers allow this.
18. Platform Fees
Sponsor Plus charges platform fees for the use of the Platform. The applicable fee rates result from the concluded Platform Agreement and the current fee schedule. Fees are charged per transaction, per dispatch or as a percentage, depending on the configured fee model.
Platform fees are documented at the time of contract conclusion and may vary depending on the subscription model, region and transaction type. The current fee schedule is recorded in the Platform Agreement and can be adjusted by Sponsor Plus in accordance with the contractual provisions.
19. Data Protection
The processing of personal data is governed by the Privacy Policy of Sponsor Plus, which is available separately. The organisation is responsible for the legality of data collection and processing, in particular for obtaining the necessary consents from the data subjects.
The Platform processes personal data within the framework of the contractual and legal provisions. Special duties of care apply to data of minors.
20. Security
Sponsor Plus takes appropriate technical and organisational measures to protect the data processed on the Platform. These include encryption, access control and regular security reviews.
The organisation and its users are obliged to keep access credentials secure and protect them against unauthorised access. If a security incident is suspected, Sponsor Plus must be informed immediately.
The Platform supports two-factor authentication (2FA) for additional security. Administrators can enable 2FA and manage device trust.
21. Uploaded Content
Users can upload content to the Platform, including images, documents and descriptions. Users warrant that they have the necessary rights to the uploaded content and that it does not infringe the rights of third parties.
Sponsor Plus reserves the right to remove content that violates legal provisions, these Terms of Use or the rights of third parties. Responsibility for uploaded content lies with the respective users.
22. Intellectual Property
The Platform and all associated content (software, design, trademarks, texts) are protected by copyright. Use of the Platform does not grant the right to use the Sponsor Plus trademark or other protected content without express consent.
Content uploaded by users remains the property of the respective users. By uploading, the user grants Sponsor Plus the necessary usage rights for display on the Platform.
23. Prohibited Use
The Platform may not be used for illegal purposes. In particular, it is prohibited to use the Platform for fraudulent activities, money laundering, the dissemination of illegal or offensive content, the violation of the rights of third parties or attempts to compromise the security of the Platform.
Sponsor Plus reserves the right to block accounts, remove content and take legal action in the event of violations.
24. Third-Party Providers
The Platform integrates third-party services, including payment providers (Stripe, Payrexx), email providers and storage services. The use of these services is subject to the respective GTC and privacy policies of the third-party providers.
Sponsor Plus is not responsible for the performance or availability of third-party services. In the event of disruptions to third-party provider services, Sponsor Plus will endeavour to remedy the situation quickly, insofar as this is within its sphere of influence.
25. Availability
Sponsor Plus endeavours to operate the Platform with high availability. However, uninterrupted availability cannot be guaranteed. Maintenance work, updates and disruptions may lead to temporary interruptions.
Sponsor Plus reserves the right to make the Platform temporarily unavailable for maintenance work. Maintenance work is carried out outside main usage hours wherever possible.
26. Maintenance
The Platform is regularly maintained and further developed. Updates may introduce new functions, change or remove existing functions. Sponsor Plus will inform organisations in advance of planned maintenance work and significant changes wherever possible.
27. Blocking
Sponsor Plus reserves the right to block organisations or users in the event of violations of these Terms of Use, the GTC or applicable law. A block may be temporary or permanent. The affected organisations or users will be informed of the block and its reason, insofar as this is legally permissible.
In the event of a block, the organisation's data will be retained if legal retention obligations require it. The organisation can reuse the data after the block is lifted, provided the block was temporary.
28. End of Contract
The contractual relationship ends by termination in accordance with the contractual provisions or upon expiry of the contract term. At the end of the contract, the organisation's data will be handled in accordance with the Privacy Policy and the legal retention obligations.
The organisation can request termination of the subscription in accordance with the contractual provisions. The refund of amounts already paid is governed by the GTC and the Platform Agreement.
29. Liability
The liability of Sponsor Plus is governed by the GTC and the Platform Agreement. Sponsor Plus is not liable for indirect damages, consequential damages or loss of profit, insofar as legally permissible.
The organisation is liable for all content and actions that it or its staff carry out on the Platform. The organisation shall indemnify Sponsor Plus against claims by third parties resulting from the organisation's use of the Platform.
30. Changes to the Conditions
Sponsor Plus reserves the right to change these Terms of Use at any time. Changes will be communicated to organisations within a reasonable period before they take effect. In the event of significant changes, the organisation is entitled to terminate the subscription within a reasonable period.
The current version of the Terms of Use is available on the Platform. By continuing to use the Platform after the changes take effect, consent is deemed to be given, unless termination is made within the notice period.
31. Applicable Law and Jurisdiction
Swiss law applies. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms of Use is, insofar as legally permissible, the registered office of Sponsor Plus in Switzerland.
